1. Agreement to Terms

By accessing or using MedShift Call ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a healthcare organization or hospital department, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

MedShift Call provides clinical on-call shift management, coordination tools, and departmental scheduling automation. The Service is designed to streamline hospital operations and assist medical staff in managing their shift commitments and eligibility.

3. User Accounts

You are responsible for maintaining the security of your account credentials (name, email, and phone number). You agree to provide accurate, current, and complete information. You are solely responsible for all activities that occur under your account.

4. Acceptable Use

The Service is a professional tool for clinical coordination. You agree to use it only for its intended purpose and in compliance with all applicable hospital policies and healthcare regulations.

Clinical Focus: You represent that you are a qualified medical professional or hospital administrator authorized to manage or participate in clinical rotations.

5. Prohibited Activities

To keep the platform secure and professional, the following activities are prohibited:

  • Attempting to gain unauthorized access to other user data.
  • Using the Service for non-clinical or non-professional coordination.
  • Disrupting the performance or integrity of the platform.
  • Reverse engineering or attempting to extract the Service's source code.

6. Payments & Subscriptions

The Service offers both a **Free Tier** and **Paid Subscription Plans** for departments and organizations.

  • Stripe Billing: All payments are processed securely by Stripe. We do NOT store your payment details on our servers.
  • Auto-Renewal: Paid plans may auto-renew according to your billing period. You can manage or cancel your subscription at any time via your settings.
  • Price Changes: We reserve the right to change our subscription fees with reasonable notice to hospital administrators.

7. Service Availability

We strive for high availability to support hospital operations. However, the Service is provided "as is" and "as available." We do not guarantee that the platform will be 100% error-free or uninterrupted. Please maintain existing hospital emergency procedures for critical coordination.

8. Termination

You may stop using the Service at any time. We reserve the right to suspend or terminate your account if you violate these Terms or if your usage poses a security risk to the clinical data of other users.

9. Disclaimers

THE SERVICE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR CLINICAL PURPOSE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE SCHEDULES COORDINATED THROUGH THE PLATFORM.

10. Limitation of Liability

MedShift Call will not be liable for any indirect, special, or consequential damages resulting from your use of the Service. In all cases, our total liability for any claim is limited to the amount paid by you or your organization in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold MedShift Call harmless from any claims, losses, or liabilities arising from your violation of these Terms, misuse of clinical data, or infringement of third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service is headquartered. Any legal disputes will be handled in the courts of that jurisdiction.

13. Changes to Terms

We may update these Terms to reflect platform changes or regulatory updates. We will notify you of material changes via the platform. Your continued use of the Service constitutes your acceptance of the new Terms.
